Terms of Use

These Terms constitute a legally binding agreement between you and Black Christian Influencers (BCI)., and its subsidiaries, representatives, affiliates, officers, and directors, including its operating brand, Black Christian Influencers Agency (collectively, “Black Christian Influencers,” “we,” “us,” or “our”) governing your use of Black Christian Influencers website and service, or services directly related to Black Christian Influencers website and service, including (without limitation) all websites, mobile applications, and other interactive properties through which such services are delivered, the BlackChristianInfluencers.com website, and Events.

By accessing and/or using our Services, whether or not you register for a membership, you are agreeing to the Terms, the terms and conditions of our Privacy Policy, and any other legal notices or other rules, policies, and procedures relating to the Services that we may publish from time to time (collectively, the “Governing Documents”). Therefore, please carefully review these documents. If you do not agree, do not access and/or use the Services. If there is a conflict between these Terms and any other terms and conditions covering a specific area of the Services, the latter terms and conditions shall control unless they expressly state otherwise.

Registered Members

Portions of this Site are available only to registered members (“Members”) of this Site. Members are only allowed to register for this Site if they have entered into an agreement with Black Christian Influencers relating to the use of this Site. As a Member, you will maintain a confidential Member name and password (“Log-in Information”), which you will use each time you log on to this Site or a portal site from which you will access this Site. You agree that you will not share your Log-in Information with any other person or entity and that you will be responsible for all activity on this Site that originates from any member logged into this Site with your Log-in Information. Black Christian Influencers is not responsible for any loss or damage arising from your failure to maintain the confidentiality of your Log-in Information and/or failure to comply with these Terms of Use.

As a Member, you are required to provide us with an Email address as a condition to the use of this Site. If You provide us with your Email address, you agree that we may contact you from time to time via Email in connection with your use of this Site or Black Christian Influencers products or services.

Black Christian Influencers may deny access to the password protected portions of this Site to any Member, individually or as part of a broader exclusion, if the Member or the associated Individuals fails to abide by these Terms of Use or the terms of any other agreement with BlackChristianInfluencers.

Account Terms

Members and Users must be at least 18 years of age to create an account on BlackChristianInfluencers.com or any Black Christian Influencers owned or operated platforms and to use the Services. If you are younger than 18 but above the required age for consent to use online services where you live (for example, 13 in the U.S.), you may not set up an account, but we encourage you to invite a parent or guardian to open an account and help you watch or participate in classes or other content that is appropriate for you.

Additionally, the following terms apply to your use of the Service and any account that you may open or attempt to open via the Service:

You must provide us with the following information in order to create a Black Christian Influencers account: an email address you control and use and your zip code. You must also provide us with valid credit card information. Creation of accounts for other Black Christian Influencers owned or operated platforms, if any, may require you to provide other information, which will be specified in the account creation flow of any such platform.

You must keep all of your information up to date.
You must be a human to open an account. Accounts registered by “bots” or other automated methods are not permitted.
Your account must be used by you alone. You may not share your account, your login information, access to your Black Christian Influencers membership, or any content contained on the Service with anyone else and you may not create an email alias for purposes of sharing your Black Christian Influencers membership with other individuals or groups. This rule does not apply solely where an organization has created a single account for the limited purpose of publishing class material on behalf of multiple Instructors, with the permission of each of those Instructors.
You are responsible for maintaining the security of your account and password. We view any actions taken by your account as taken by you. Black Christian Influencers will not be liable for any loss or damage from your failure to comply with this security obligation.
Your use of the Service is subject to all applicable laws and regulations. You will use the Service only for lawful purposes.
Our Service may integrate with third-party tools to provide certain features or functionality. By using our Service, you agree to be bound by the terms of service and privacy policies of these third-parties, which may include YouTube, Zoom, Gumlet, and Stripe.
You will comply with our Community Guidelines whenever you use the Service, including during your participation in any Event or Community Forums.
You will use any data associated with the Service in accordance with our Privacy Policy.
By enrolling in a class, course, module, other content on blackchristianinfluencers.com, an Event, or by engaging in a Community Forum, you grant us permission to share your information, including personal data (as further specified in our Privacy Policy), with the Instructor offering the content or Event or participating in the transaction.
You acknowledge that we may establish general practices and limits concerning use of the Service, including without limitation the maximum period of time that data or other content will be retained by the Service and the maximum storage space that will be allotted on our servers on your behalf.
You acknowledge that your use of the Services requires that you have hardware, software, and an internet connection fulfilling certain requirements. If those requirements are not met, you potentially may still use the Services, but it may be at a lower quality or performance. Such reduced quality or performance will not give you the right to claim compensation or seek a refund from Black Christian Influencers.
You agree that we have no responsibility or liability for the deletion or failure to store any data or other content maintained or uploaded by the Service.
You can terminate your account at any time by following the steps here. Review our Privacy Policy to see what happens when you terminate your account.
We may terminate your account and delete any content contained in it if there is no account activity (such as a log in event or payment) for over 12 months. However, we will attempt to warn you by email, using the email address we have for you on file, before terminating your account, in an effort to provide you with an opportunity to log in to your account so that it remains active.

If you contact us to request access to an account, we will not grant you such access unless you can provide us with the information that we need to prove you are the owner of that account. In the event of the death of a user, the account of that deceased user will be closed.

We reserve the right to, at any time, without notice, modify, suspend, or terminate operation of or access to the Service, or any portion of the Service, for any reason. We further reserve the right to delete or suspend your account: (1) if you violate our Terms, Instructor Rules and Requirements, or our Community Guidelines; or (2) if you are inactive for an extended period of time.

Subscriptions, Payments, and Cancellation

A. Subscriptions, Purchases, and Payments

Unless you enrolled via a gift membership, prepaid membership, or scholarship, your subscription will continue and automatically renew on a monthly or annual basis unless and until you cancel your subscription, or your account is otherwise suspended or terminated pursuant to these Terms. When your subscription renews each month/year, we will automatically charge your payment method on file for the subscription fee, as well as any applicable tax, on the calendar day corresponding to the commencement of your paying membership. If your payment method expires prior to renewal, that payment method may be automatically updated based on information provided by your card issuer. This is done in partnership with major credit card issuers, so your payment doesn’t fail and you don’t have to update your card details manually. Nonetheless, you agree to provide updated payment information upon request and any time the information you previously provided is no longer valid. We reserve the right to change the timing of our billing, including if your payment method has not successfully settled.

If you are located in a country where use and sales tax, goods and services tax, or value added tax is applicable to consumer sales, we may be responsible for collecting and remitting that tax to the proper tax authorities. Depending on your location, the price you see may include such taxes, or tax may be added at checkout.

Black Christian Influencers collects all fees through secure third-party payment processors. Our third-party payment processors accept payments through methods detailed on the applicable payment screen, which may include various credit cards and Stripe. Such payment methods are subject to change. Information that you supply to our payment processors is not stored by us or within our control, and is subject to each of our third-party payment processors’ own privacy policies and terms and conditions. Third-party payment processors may charge a fee to process payments and Black Christian Influencers is not responsible for any fees charged by them. Black Christian Influencers disclaims all liability with regard to any fees or problems you have with third-party payment processors.

If you enroll in a Black Christian Influencers subscription via a gift membership, prepaid membership, or scholarship, you will not be required to provide a payment method at the time of enrollment and your subscription will end automatically at the conclusion of the subscription period provided by your gift membership, prepaid membership, or scholarship. If you wish to continue your subscription beyond that period, you will need to enroll in an automatically renewing subscription and provide a method of payment.

Black Christian Influencers reserves the right to develop and launch new products or services or make changes to any products or services offered through the Service. If you choose to purchase or participate in any additional products or services offered by Black Christian Influencers or Instructors, you may be charged additional amounts for such products or services.

Black Christian Influencers also reserves the right to change the terms of your subscription, including price, from time to time, effective as of the beginning of your next billing period following the date of the change. We will give you advance notice of these changes, but we will not be able to notify you of changes in any applicable taxes. If you do not wish to accept the price change or change to your subscription plan, you can cancel your subscription before the change takes effect.

Price changes, whether pertaining to subscriptions or other products, may be the result of many factors, including changes in costs related to procuring content or providing the Services, changes to market conditions or the consumer price index, or changes to applicable tax rates. Should these costs go up, we may increase our prices accordingly. Should these costs go down, we may decrease our prices accordingly.

Monthly Memberships

Monthly/annual memberships are non-refundable. Once a monthly/annual payment has been processed, we are unable to issue a refund. However, you may cancel your membership at any time to stop future charges.You may cancel your blackchristianinfluencers.com membership at any time through your account. We will not provide refunds to users who have acted in a fraudulent manner or in a way that violates or would violate these Terms or our Community Guidelines (as determined in our sole discretion), including users who have been deactivated for the same.

Cancellations

You may cancel your Black Christian Influencers membership at any time for any or no reason, but if you cancel your membership before the end of the current subscription period, we will not refund any subscription fees already paid to us or charged to your payment method except in the limited circumstances set forth above. To cancel your recurring subscription, please visit your payment settings within your Black Christian Influencers account profile located at https://blackchristianinfluencers.com/customer-dashboard/. If you cancel your Black Christian Influencers membership, you will lose access to all classes you enrolled in during your BCI membership at the end of your billing period. If you choose to sign back up as a paying member, your billing date will reset to the day you paid.

Online Commerce

Certain sections of this Site may allow you to purchase different types of products and services online that are provided by third parties. We are not responsible for the quality, accuracy, timeliness, reliability or any other aspect of these products and services. If you make a purchase from a merchant on our Site, or on a third-party website that you have accessed via a link on our Site, the information obtained during your visit to that merchant’s online store or site, and the information that you give as part of the transaction, such as your credit card number and contact information, may be collected by both the merchant and us. A merchant may have privacy and data collection practices that are different from ours. We have no responsibility or liability for these independent policies. In addition, when you purchase products or services on or through the Site, you may be subject to additional terms and conditions that specifically apply to your purchase or use of such products or services. For more information regarding a merchant, its online store, its privacy policies, and/or any additional terms and conditions that may apply, visit that merchant’s website and click on its information links or contact the merchant directly. You release us and our affiliates from any damages that you incur, and agree not to assert any claims against us or any of our affiliates, arising from your purchase or use of any products or services made available by third parties through the Site.

You agree to be financially responsible for all purchases made by you or someone acting on your behalf through the Site. You agree to use the Site, and to purchase services or products through the Site, for legitimate, non-commercial purposes only. You also agree not to make any purchases for speculative, false or fraudulent purposes or for the purpose of anticipating demand for a particular product or service. You agree to only purchase goods or services for yourself or for another person for whom you are legally permitted to do so. When making a purchase for a third party that requires you to submit the third party’s personal information to us or a merchant, you represent that you have obtained the express consent of such third party to provide such third party’s personal information.

Ownership of Intellectual Property

Other than third party materials that Black Christian Influencers uses with permission or in accordance with Applicable Law, Black Christian Influencers owns all Site software, design, text, images, photographs, illustrations, audio clips, video clips, artwork, graphic content, and other copyrightable elements, and the selection and arrangements thereof, trademarks, service marks and trade names (collectively, the “Content”). The Content is protected, without limitation, pursuant to U.S. and foreign copyright and trademark laws. Black Christian Influencers grants you a personal, non-exclusive, non-assignable and non-transferable license to use and display, for noncommercial and personal use only, one copy of any Content and/or software that you may download from this Site, including, without limitation, any files, codes, audio or images incorporated in or generated by the software, provided that you maintain all copyright and other notices contained in such Content. By registering to use this Site, you agree that you will not share your password with any other person, including co-workers, friends, and you will not allow any other person to access the password-protected portions of this Site.

You agree not to reproduce, modify, create derivative works from, display, perform, publish, distribute, disseminate, broadcast or circulate any Content to any third party (including, without limitation, the display and distribution of the Content via your own or a third party website) without Black Christian Influencers express prior written consent. You further agree that you will not disassemble, decompile, reverse engineer or otherwise modify any software included in the Content. Any unauthorized or prohibited use may subject you to civil liability and criminal prosecution under applicable federal and state laws.

Black Christian Influencers neither warrants nor represents that your use of the Content will not infringe rights of third parties.

The trademarks, logos, and service marks (collectively the “Trademarks”) displayed on this Site are registered and unregistered marks of Black Christian Influencers or are otherwise used by Black Christian Influencers with permission. Nothing contained on this Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on this Site without Black Christian Influencers express prior written permission. Your use of the Trademarks displayed on this Site, except as provided in these Terms of Use, is strictly prohibited. Black Christian Influencers will enforce its intellectual property rights to the fullest extent of the law.

Our Right to Use Materials You Submit or Post

When you submit or post any material via the Site, you grant us, and anyone authorized by us, a royalty-free, perpetual, irrevocable, non-exclusive, unrestricted, worldwide license to use, copy, modify, transmit, sell, exploit, create derivative works from, distribute, and/or publicly perform or display such material, in whole or in part, in any manner or medium (whether now known or hereafter developed), for any purpose that we choose. The foregoing grant includes the right to exploit any proprietary rights in such posting or submission, including, but not limited to, rights under copyright, trademark or patent laws that exist in any relevant jurisdiction. Also, in connection with the exercise of these rights, you grant us, and anyone authorized by us, the right to identify you as the author of any of your postings or submissions by name, email address or screen name, as we deem appropriate. You understand that the technical processing and transmission of the Site, including content submitted by you, may involve transmissions over various networks, and may involve changes to the content to conform and adapt it to technical requirements of connecting networks or devices.

You will not receive any compensation of any kind for the use of any materials submitted by you.
You shall be solely responsible for the accuracy, quality, integrity and legality of the material uploaded or posted on the Site. You agree not to provide or post any Protected Health Information (as defined in 45 CFR § 160.103, PHI) on the Site.
You represent and warrant that: (i) you have the right and authority necessary to post materials on the Site, and (ii) that such uploads or posts will be provided at all times in compliance with all applicable law, including, to the extent applicable, with the Health Insurance Portability and Accountability Act of 1996, Public Law 104 191 and regulations promulgated thereunder by the U.S. Department of Health and Human Services, each as amended from time to time (HIPAA). Copyright Compliance Policy

To ensure compliance with the Digital Millennium Copyright Act (“DMCA”) Black Christian Influencers will take action on receipt of notice of alleged copyright infringement. If you are a copyright owner or representative of the owner and believe that a member has submitted or uploaded material that infringes upon your United States copyrights, you may submit notification in accordance with the DMCA by providing InfoSource with the following information in writing: (a) identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works; (b) identification of the claimed infringing material and information reasonably sufficient to permit us to locate the material on this Site (such as the URL(s) of the claimed infringing material); (c) information reasonably sufficient to permit us to contact you, such as an address, telephone number, and, if available, an Email address; (d) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (e) a statement by you, made under the penalty of perjury, that the above information in your notification is accurate and that you are the owner of an exclusive right that is allegedly infringed or are authorized to act on the owner’s behalf; and (f) your physical or electronic signature. Prohibited Uses

To use the Service, you must agree to comply with the following:

You will not interfere with any Black Christian Influencers-related content or User Content.

Chatroom/Message Boards/ Shared Resources/ Other Postings

To the extent that portions of this Site provide members an opportunity to post and exchange information, ideas and opinions (the “Postings”), please be advised that Postings do not necessarily reflect the views of Black Christian Influencers or any of its licensors. In no event shall Black Christian Influencers assume or have any responsibility or liability for any Postings or for any claims, damages or losses resulting from their use and/or appearance on this Site. You hereby represent and warrant that you have all necessary rights in and to all Postings you provide and all information they contain and that such Postings shall not infringe any proprietary or other rights of third parties or contain any libelous, tortious, or otherwise unlawful information. You hereby authorize Black Christian Influencers to use, and authorize others to use, your Postings in whole or in part, on a royalty-free basis, worldwide in perpetuity in any and all media, now known or hereafter devised, alone, or together or as part of other material of any kind or nature. Without limiting the foregoing, Black Christian Influencers will have the right to use and change the Postings in any manner that Black Christian Influencers may determine. Additionally, Black Christian Influencers may sweep its chat rooms, message boards, shared resources and other postings periodically in its sole discretion. Black Christian Influencers does not allow Postings which contain:

private or personal information which might identify a member
profanity or obscenities
personal attacks on other individuals
slanderous, defamatory, obscene, pornographic, threatening and harassing comments, and/or other information that InfoSource deems in its sole discretion to be inappropriate for this Site.

The chat rooms, message boards, shared resources and other postings may be used for noncommercial purposes only. Members may not post any information intended to promote and/or generate revenue for any third party business activity. Although Black Christian Influencers may periodically monitor the Postings, we cannot be responsible for the views or opinions expressed by third parties. Nevertheless, Black Christian Influencers will make every effort to ensure that the chat rooms, message boards, shared resources and other postings best serve the interests of all Members and, therefore, Black Christian Influencers reserves the right to refuse to post, edit, or delete messages that violate the above-referenced rules, as well as revoke the privileges of Members who do not comply with such rules. If you believe that any content on this Site (including, without limitation, Postings) violates any of these Terms of Use please notify us at info@blackchristianinfluencers.com We cannot guarantee that we will respond to your message and we reserve the right to take or refrain from taking any or all steps available to us once we receive any such message.

From time to time, Black Christian Influencers offers live chats in which Members may elect to participate. If a Member elects to participate in a live chat, the Member does so of his or her own volition and with the full understanding that a transcript of each live chat may be archived and made available to other Members in Black Christian Influencers sole discretion.

Collaborative Learning

Members may choose to share with other Members non-infringing learning materials that they have created (“Shared Resources”). Such materials may be posted in appropriate message boards and chat rooms and each Member acknowledges that by making such materials available to other Members, other Members may download copies of the materials and use them solely for their own personal, classroom use.

Each Member downloading or otherwise copying any Shared Resources agrees that he or she (i) may not copy any Shared Resources except for use in Members specific classroom or otherwise in connection with the ordinary scope of Member’s duties as a teacher, (ii) may not distribute any Shared Resources outside of the ordinary course of Member’s duties as a teacher, and (iii) may not sell, lend or lease the Shared Resources. For the avoidance of doubt, as between Members of this Site, all Shared Resources are owned by the person posting the materials on this Site, subject to any claims of infringement that other Members may have.

Notwithstanding the foregoing, each Member grants to all other Members the right to modify Shared Resources and to both use such modified versions of Shared Resources in accordance with this Section. Governing Law

These Terms shall be governed by the laws of the State of Illinois, without giving effect to any principles of conflicts of law. If any provision of this Agreement and Terms shall be unlawful, void, or for any reason unenforceable then that provision shall be severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

These Terms constitute the entire agreement between Black Christian Influencers and you with respect to your use of the Website. Any cause of action you may have with respect to your use of the Site must be commenced within six (6) months after the claim or cause of action arises.

Indemnity

You agree to indemnify and hold Black Christian Influencers and its employees and agents harmless from and against all liabilities, legal fees, damages, losses, costs and other expenses in relation to any claims or actions brought against arising out of any breach by you of these Terms and Conditions or other liabilities arising out of your use of this Website.

Severability

In the event that any provision of this Agreement is declared by any judicial or other competent authority to be void, voidable, illegal, or otherwise unenforceable or indications of the same are received by either you or us from any relevant competent authority, we shall amend that provision in such reasonable manner as achieves the intention of the parties without illegality or, at our discretion, such provision may be severed from this Agreement and the remaining provisions of this Agreement shall remain in full force and effect.

Miscellaneous

These Terms of Use, together with Black Christian Influencers Privacy Policy and any other policy posted at this Site are the entire agreement between Black Christian Influencers and you relating to this Site. Notwithstanding the foregoing, your use of this Site may also be subject to an agreement between Black Christian Influencers or some other party with which you have a relationship (each such an agreement, a “Third Party Agreement”). Your use of this Site is also limited by relevant provisions of those Third Party Agreements. If any provision of these Terms of Use is found invalid or unenforceable by a court of competent jurisdiction, you agree that every attempt will be made to give effect to the parties’ intentions as reflected in that provision to the extent permitted by Applicable Law, and such finding will not affect the balance of these Terms of Use, which will remain valid and enforceable.
